These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Duckier Interactive - FZCO ("Duckier", "Company", "we", "us", "our"), a Free Zone Company incorporated in the United Arab Emirates, governing your access to and use of the Duckier service, including our website, applications, and related services.

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

1 Definitions

"Services" refers to the Duckier service, including all features, applications, content, and functionality offered through our website and applications.
"Software" refers to all Duckier applications for desktop (Windows, macOS, Linux) and mobile (iOS, Android) platforms, browser extensions, and any updates thereto.
"VPN" (Virtual Private Network) refers to the encrypted connection service that routes your internet traffic through our secure servers.
"Account" refers to the user account created to access and use our Services.
"Subscription" refers to the paid plan that grants access to our premium Services for a specified period.
"Content" refers to any data, text, graphics, or other materials transmitted through our Services.

2 Eligibility

2.1 Age Requirement: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

2.2 Legal Capacity: You represent that you have the legal capacity to enter into this Agreement and are not prohibited from using our Services under applicable laws.

2.3 Geographic Restrictions: Our Services may not be available in all countries or regions. You are responsible for ensuring that your use of our Services complies with the laws of your jurisdiction. We reserve the right to limit or restrict access to our Services in certain geographic areas.

2.4 Sanctions Compliance: You represent that you are not located in, under the control of, or a national or resident of any country subject to United Arab Emirates, United Nations, or applicable international sanctions, and that you are not on any prohibited parties list.

3 Description of Services

3.1 VPN Service: Duckier provides a Virtual Private Network service that encrypts your internet connection and routes your traffic through our secure servers, helping protect your online privacy and security.

3.2 Available Platforms: Our Services are available on the following platforms:

macOS
Linux
iOS
Android
Browser Extensions

3.3 Service Availability: We strive to maintain high availability of our Services but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

3.4 Server Network: We operate servers in multiple countries. The availability of specific server locations may change without notice. We reserve the right to add, remove, or modify server locations at our discretion.

3.5 No Guarantee of Anonymity: While our VPN service enhances your privacy, we do not guarantee complete anonymity. Users are responsible for their own online conduct.

4 Software License

4.1 License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use our Software on devices that you own or control, solely for your personal, non-commercial use of our Services.

4.2 License Restrictions: You may not:

  • Copy, modify, or distribute the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Rent, lease, lend, sell, or sublicense the Software
  • Use the Software to develop competing products or services
  • Remove or alter any proprietary notices or labels on the Software
  • Use any automated systems or software to extract data from the Software

4.3 Updates: The Software may automatically download and install updates from time to time. These updates are designed to improve, enhance, and further develop the Services and may include bug fixes, enhanced functions, new modules, or entirely new versions.

4.4 Open Source Components: Our Software may include open source components subject to separate license terms. Such license terms are available in the Software documentation or upon request.

4.5 Platform-Specific Terms

4.5.1 Apple App Store: If you download our iOS application from the Apple App Store, you acknowledge that these Terms are between you and Duckier only, and not with Apple Inc. Apple has no obligation to provide maintenance or support for the application. Apple is not responsible for any claims relating to the application.

4.5.2 Google Play Store: If you download our Android application from Google Play, you acknowledge that Google LLC is not responsible for our application and has no obligation to provide support or maintenance.

5 Account Registration

5.1 Account Creation: To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

5.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

5.3 One Account Per User: Each account is for a single user only. You may not share your account credentials with others or allow multiple users to access the Services through a single account, except as permitted by your subscription plan.

5.4 Device Limits: Your subscription may include limits on the number of simultaneous device connections. These limits are specified in your subscription plan details.

6 Payment Terms

6.1 Subscription Plans: We offer various subscription plans with different durations and features. Current pricing and plan details are available on our website.

6.2 Payment Methods: We accept various payment methods as indicated during checkout. You represent that you are authorized to use your chosen payment method.

6.3 Automatic Renewal: Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew at the then-current price. You authorize us to charge your payment method for each renewal period.

6.4 Price Changes: We may change our prices at any time. Price changes will apply to subsequent billing periods and will be communicated to you in advance.

6.5 Refund Policy: We offer a 30-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 30 days of the initial purchase. Refunds are not available for subscription renewals. For complete details, please refer to our Refund Policy.

6.6 Taxes: All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for paying any taxes associated with your use of our Services.

6.7 Currency: All prices are displayed in United States Dollars (USD) unless otherwise indicated.

7 Acceptable Use Policy

7.1 Our Services are provided for lawful privacy and security purposes. You agree to use our Services only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy.

7.2 Lawful Use: You are solely responsible for ensuring that your use of our Services complies with all applicable laws, regulations, and third-party rights in your jurisdiction.

7.3 Fair Usage: To ensure quality service for all users, we reserve the right to implement fair usage policies and may limit excessive bandwidth consumption that negatively impacts other users.

8 Prohibited Activities

You agree not to use our Services for any of the following prohibited activities:

Zero Tolerance Policy: We have zero tolerance for illegal activities, particularly those involving child exploitation, terrorism, or activities that cause serious harm to others. Violations may be reported to law enforcement.

8.1 Illegal Activities:

  • Any activity that violates applicable local, national, or international laws
  • Child Sexual Abuse Material (CSAM) - transmission, storage, or access
  • Terrorism-related activities or content
  • Human trafficking or exploitation
  • Drug trafficking or illegal substance distribution
  • Money laundering or financial crimes
  • Fraud, identity theft, or phishing

8.2 Network Abuse:

  • Hacking, unauthorized access to computer systems, or network intrusion
  • Launching DDoS attacks or participating in botnets
  • Distribution of malware, viruses, or malicious code
  • Port scanning or network probing without authorization
  • Exploiting security vulnerabilities

8.3 Spam and Abuse:

  • Sending unsolicited bulk messages (spam)
  • Harassment, stalking, or threatening behavior
  • Doxxing or publishing private information without consent
  • Impersonation or misrepresentation of identity

8.4 Intellectual Property Violations:

  • Copyright infringement or piracy
  • Trademark violations
  • Distribution of stolen or proprietary content

8.5 Service Abuse:

  • Attempting to bypass service limitations or restrictions
  • Reselling or sharing accounts without authorization
  • Using automated tools to abuse the service
  • Interfering with the proper functioning of our Services

9 Privacy & Data Protection

9.1 Privacy Policy: Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.2 Data Processing: By using our Services, you consent to the collection and processing of information as described in our Privacy Policy.

9.3 International Data Transfers: Our Services operate globally. By using our Services, you acknowledge that your information may be transferred to and processed in countries other than your country of residence, including the United Arab Emirates.

9.4 GDPR Compliance: For users in the European Economic Area (EEA), we comply with the General Data Protection Regulation (GDPR) and provide the rights afforded under that regulation.

9.5 CCPA Compliance: For California residents, we comply with the California Consumer Privacy Act (CCPA) and provide the rights afforded under that law.

10 Intellectual Property

10.1 Our Property: All intellectual property rights in and to our Services, including but not limited to the Software, website, logos, trademarks, service marks, and content, are owned by or licensed to Duckier. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted.

10.2 Trademarks: "Duckier", the Duckier logo, and other Duckier marks are trademarks of Duckier Interactive - FZCO. You may not use these trademarks without our prior written permission.

10.3 Feedback: If you provide us with feedback, suggestions, or ideas regarding our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

11 Third-Party Services

11.1 Our Services may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or availability of such third-party services.

11.2 Payment Processors: We use third-party payment processors to handle transactions. Your use of these services is subject to their respective terms and privacy policies.

11.3 App Stores: If you download our Software from an app store (such as Apple App Store or Google Play), your use is also subject to the terms of that app store.

12 Disclaimers

IMPORTANT: Please read this section carefully as it limits our liability to you.

12.1 AS IS: OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 No Guarantee: We do not guarantee that our Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not guarantee any specific results from use of our Services.

12.3 Security Disclaimer: While we implement industry-standard security measures, no method of transmission over the internet or electronic storage is 100% secure. We cannot guarantee absolute security of your data.

12.4 Third-Party Content: We are not responsible for any content accessed through our Services or any actions taken by third parties.

13 Limitation of Liability

13.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DUCKIER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to access or use our Services
  • Any conduct or content of any third party on our Services
  • Any content obtained from our Services
  • Unauthorized access, use, or alteration of your transmissions or content

13.2 Maximum Liability: Our total liability to you for all claims arising from or related to these Terms or our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred United States Dollars ( USD), whichever is greater.

13.3 Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

14 Indemnification

14.1 You agree to indemnify, defend, and hold harmless Duckier and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable laws or regulations
  • Any content you transmit through our Services

15 Termination

15.1 Termination by You: You may terminate your account and stop using our Services at any time by contacting us or through your account settings. Termination does not entitle you to a refund except as provided in our Refund Policy.

15.2 Termination by Us: We may suspend or terminate your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

15.3 Effect of Termination: Upon termination, your right to use our Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.

15.4 Data After Termination: We may delete your account data after termination in accordance with our Privacy Policy. We are not obligated to maintain or provide any data after your account is terminated.

16 Governing Law

16.1 Applicable Law: These Terms and any dispute arising out of or related to these Terms or our Services shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.

16.2 UAE Compliance: You acknowledge that the use of VPN services in the United Arab Emirates is subject to UAE Federal Law. You agree to comply with all applicable UAE laws and regulations, including but not limited to the UAE Cybercrime Law (Federal Decree-Law No. 34 of 2021) and the UAE Telecommunications Regulatory Authority regulations.

16.3 International Users: If you access our Services from outside the United Arab Emirates, you are responsible for compliance with local laws. Our Services are not intended for use in jurisdictions where such use would be prohibited by law.

17 Dispute Resolution

17.1 Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice to our contact address describing the dispute and your proposed resolution.

17.2 Arbitration: If we cannot resolve the dispute informally within 60 days, any dispute arising from or relating to these Terms shall be finally settled by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its arbitration rules. The arbitration shall take place in Dubai, United Arab Emirates, and shall be conducted in the English language.

17.3 Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17.4 Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

17.5 Exclusive Jurisdiction: For any matters not subject to arbitration, the courts of Dubai, United Arab Emirates shall have exclusive jurisdiction.

18 Changes to Terms

18.1 Right to Modify: We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect.

18.2 Acceptance of Changes: Your continued use of our Services after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using our Services.

18.3 Version History: The effective date of these Terms is stated at the top of this page. We encourage you to periodically review these Terms for any changes.

19 General Provisions

19.1 Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Duckier regarding our Services and supersede all prior agreements.

19.2 Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19.3 Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

19.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

19.5 Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

19.6 Notices: All notices to you will be provided via the email address associated with your account or through our Services. Notices to us should be sent to our contact address below.

19.7 Language: These Terms are provided in English. If these Terms are translated into any other language and there is a conflict between the English version and the translated version, the English version shall prevail.
